Before you engage
Cooperatives are member-owned and CDA-regulated. Most of the trouble we see comes from compliance left undone: late reports, an unfunded reserve or CETF, a general assembly held without proper notice, by-laws that no longer match how the cooperative actually runs. As a lawyer-CPA practice we read the books and the by-laws together. We fix the housekeeping first, then map the Code's internal remedies before any dispute reaches the CDA. Cooperative conflicts also pass through mediation and conciliation before arbitration, so we prepare for those steps rather than reaching for litigation first.

Questions
Under RA 9520 a cooperative needs at least the minimum number of members, Articles of Cooperation and By-Laws, an economic survey, and the prescribed paid-up share capital, all filed with the CDA. The consultation walks through the type that fits your group, the documentary requirements, and a realistic path to a Certificate of Registration before anything is filed.
A cooperative is member-owned and democratically run, one member one vote, and it is registered with and regulated by the CDA under RA 9520, not by the SEC. It carries its own duties, like the reserve and education funds and CDA reporting, and its own tax treatment. The firm advises which vehicle actually fits your purpose rather than assuming one.
Usually not. The Cooperative Code routes intra-cooperative disputes through the cooperative's own conciliation and mediation, and then voluntary arbitration, before the regular courts are reached. The firm reads the by-laws and the records, works the internal remedies, and turns to formal proceedings only when those are exhausted.
